1. Who we are

LaunchDesk is a private business services company based in Orlando, Florida (“LaunchDesk,” “we,” “us”). We help customers prepare and submit business formation paperwork, such as Florida LLC Articles of Organization, and provide related launch services. By creating an account, purchasing, or using the site, you agree to these Terms.

2. Not a law firm; no legal or tax advice

LaunchDesk is not a law firm and is not a substitute for an attorney, CPA, or other licensed professional. We do not provide legal, tax, accounting, or financial advice, and no attorney-client or other professional relationship is created by using our services.

We prepare documents based on the information you provide and do not review your choices for legal sufficiency (for example, your business structure, name availability beyond a basic search, operating agreement terms, licensing, or tax elections). If you need advice, consult a licensed professional.

3. Not a government agency

We are not affiliated with or endorsed by the State of Florida, the Florida Division of Corporations (Sunbiz), the IRS, or any government agency. You can file directly with the state or IRS yourself, often for only the government fee.

4. Your responsibilities

You agree to provide accurate, complete, and current information, to review documents before you approve them, and to respond to requests for information. You are responsible for the consequences of inaccurate information you supply.

You must be at least 18 years old and authorized to act for the business you are forming.

5. Authorization and filing

We will not submit any government filing on your behalf until you have reviewed it and given your authorization, and a LaunchDesk team member has reviewed it. Approval, timing, and outcomes are decided by the government agency and are not guaranteed. Processing times vary.

6. Fees and payment

Prices for LaunchDesk services are shown before checkout. Government fees (for example, Florida LLC filing and registered agent designation fees) are set by the government, are passed through at cost, and are shown as a separate line item. They are not LaunchDesk fees.

Payments are processed by Stripe. Optional recurring services (such as website hosting or maintenance) renew monthly until you cancel through your dashboard.

7. Refunds

Refunds are governed by our Refund Policy.

8. Sensitive information

We do not collect Social Security numbers through ordinary website forms, email, or SMS. Where an EIN application requires taxpayer information, it is handled through a separate secure process.

9. Websites, logos, and deliverables

For packages that include a website or logo, you own the final deliverables once paid in full, excluding third-party assets (such as fonts, stock images, or hosting platforms) that remain subject to their own licenses. You are responsible for confirming that your business name and branding do not infringe others’ rights.

10. Disclaimers and limitation of liability

Services are provided “as is.” To the fullest extent permitted by law, LaunchDesk is not liable for indirect, incidental, or consequential damages, or for government decisions or delays, and our total liability for any claim is limited to the LaunchDesk service fees you paid for the service at issue (excluding government fees).

11. Governing law

These Terms are governed by the laws of the State of Florida. Any dispute will be brought in the state or federal courts located in Orange County, Florida, unless applicable law requires otherwise.

12. Changes and contact

We may update these Terms; the “Last updated” date shows the latest version. Questions? Contact us.
